In short (not part of the Agreement). A school buys a yearly licence sized to its number of students, plus one seat per student. Every seated student, and every teacher, gets full certifyboost Premium with their own usage limits. Prices exclude VAT. The licence renews every year until the school cancels. Seat and tier changes are charged or credited immediately, pro rata. AI scores are practice estimates: the school must never use them as grades or for decisions about students. The school is the controller of its classroom data and we process it on its behalf (Annex A); each student's own learner account remains theirs.

3. Contract documents and conclusion
3.1 The Agreement consists of:
- the Order;
- these terms;
- Annex A (DPA);
- Annex B (Joint Controller Annex);
- Schedule 1 (prices in other currencies).
The student and parent notice (Annex C) is a template we provide for the School's use under clause 17.3. It is not a contractual obligation of either party in itself.
3.2 Precedence. If the documents conflict:
- for the processing of personal data, Part 1 of Annex A (the Standard Contractual Clauses) prevails over everything else, as its Clause 4 requires;
- then the rest of Annex A, for Classroom Data, and Annex B, for Shared Progress Data;
- then the Order, but only where it expressly departs from these terms;
- then these terms;
- then Schedule 1.
3.3 Online conclusion. For an online Order, the Agreement is concluded when:
- a person signed in to the App selects a Licence Tier and a number of Seats on the /schools page;
- ticks the box confirming that they accept this Agreement (including Annexes A and B) on behalf of the School and that the School buys for its professional or educational activity (clause 28); and
- completes payment on Stripe's checkout page, and Stripe confirms the payment.
3.4 Order form. For an Order on a signed order form (for example a pilot, comped seats, or payment by bank transfer), the Agreement is concluded when both parties have signed it. Clauses that refer to Stripe apply only as far as the order form uses Stripe.
3.5 Authority. The person who accepts this Agreement for the School confirms that they are authorised to do so.
3.6 Records. We keep a record of the version of this Agreement the School accepted and the date. We e-mail a copy to the Paying Owner after the Order is concluded.
3.7 Learner Accounts. Each Student, Teacher and Owner uses certifyboost through their own Learner Account under the Terms of Service. This Agreement does not change those Terms, places no obligation on any Student, and does not make the School a party to any Student's Terms of Service.
4. The Service
4.1 certifyboost is an online platform for preparing for English certification exams from B1 to C2. It offers mock exams, video courses, practice drills, daily challenges, flashcards, progress statistics, AI feedback on writing and speaking, and the Live Interview with an AI examiner.
4.2 The Classroom lets the School:
- invite Students by e-mail, see who is invited or active, place Students in classes and remove them (Students);
- create, rename and delete classes (Classes), each Student being in at most one class;
- assign a whole course, selected chapters or a mock exam to selected Students, optionally with a due date, and follow each Student's progress on it (Assignments);
- see a dashboard of counts and, per class, the weekly XP ranking (Dashboard, Classes);
- for Owners only, manage the Licence, Seats, invoices and payment method, rename the School and buy Live Interview Minutes for Students (Plan & Billing).
4.3 We are an independent preparation platform. We are not affiliated with, endorsed by or approved by Michigan Language Assessment, Cambridge University Press & Assessment, Learning Resource Network Ltd or any other examination body. Exam names are used solely to identify the examinations for which the material is intended and do not imply any relationship with those bodies. Our practice material is original and contains no real exam questions.
4.4 The Service runs in current versions of the major web browsers and needs an internet connection. The speaking features need a microphone. Mock exams work best on a larger screen.
5. School Account and roles
5.1 Each Order creates one School Account, linked to the Paying Owner. If the Paying Owner was the only teacher of a School Account that we set up on an order form, the online Order may instead attach the Licence to that existing School Account.
5.2 Roles.
| Role | Can | Cannot |
|---|---|---|
| Owner | Everything a Teacher can, plus Plan & Billing. Only the Paying Owner can change the Seats and the Licence Tier; other Owners see those settings read-only. Any Owner can rename the School and buy Minute Packs. | — |
| Teacher | For the classes an Owner puts them on: see the class, invite and remove Students, create assignments and see progress. | See or change Plan & Billing. |
| Student | Learn; see the School's assignments and their class's weekly XP ranking. | Use the Classroom. |
5.3 Adding Teachers and Owners. Owners invite Teachers and other Owners by e-mail from the Classroom, up to the number of Owners and Teachers included in the Licence tier, which the Classroom shows. A person who already has a Learner Account accepts the invitation in the app; anyone else receives an invitation and is linked when they sign up with that e-mail address. Owners remove Teachers and Owners the same way; the Paying Owner cannot be removed, and the School Account always keeps at least one Owner. A Teacher sees only the classes an Owner puts them on. The School must promptly remove anyone who leaves the School or no longer needs access.
5.4 Teacher and Owner access is personal. Each person uses their own Learner Account and must not share it. The School is responsible for the acts and omissions of its Owners and Teachers in the Classroom as for its own.
5.5 Paying Owner's account. The Subscription is billed to the Paying Owner's Learner Account. If the Paying Owner asks us to delete that account:
- (a) the account is disabled at once, and we set the Subscription to end at the end of the current Term instead of renewing. Until then the School Account stays active, but no one can change the Seats or the Licence Tier (clause 5.2);
- (b) for 30 days after the request, the Paying Owner can withdraw it by writing to us. We then restore the account and, on request, the renewal of the Subscription;
- (c) if the request is not withdrawn, the account is permanently deleted 30 days after the request. We then suspend the School Account and cancel the Subscription with immediate effect, without refund for the rest of the Term, because no one could otherwise manage or end the Licence. If the current Term ends before that, the Subscription ends with it and the School Account is suspended then (clauses 14.2 and 26.3).
Before the Paying Owner leaves the School or deletes their account, the School should contact us so that we can move the School Account to another Owner.
5.6 One subscription per account. A Learner Account can hold only one paid subscription at a time. The Paying Owner therefore cannot hold a personal Premium plan alongside the Licence, and cannot buy a Licence while a personal subscription is in force. Owners and Teachers receive Premium through the School anyway (clause 7.3).
5.7 The School's name is shown to Students and in our e-mails to them. The School must not use a name that is misleading, offensive or infringes anyone's rights.
6. Seats and Students
6.1 Each Student needs a Seat. Owners and Teachers do not.
6.2 The Order states the number of Seats: at least one, and no more than the capacity of the Licence Tier (clause 8.1).
6.3 When a Seat is occupied. The App counts Seats as follows:
- (a) a Student who has been invited or is active occupies a Seat;
- (b) a declined invitation, and a revoked invitation that was never accepted, frees the Seat at once;
- (c) a Student who was active and is then removed keeps the Seat occupied for 14 days after removal (the Cooldown). This prevents one Seat from being passed between several students. Re-inviting the same Student during the Cooldown is allowed even when all Seats are occupied.
The School cannot invite more Students than it has free Seats.
6.4 Joining. A Teacher or Owner invites a Student by e-mail address, optionally into a class.
- If the address belongs to an existing Learner Account, the Student sees the invitation in the App and accepts or declines it.
- Otherwise we e-mail an invitation. If the Student signs up with exactly that e-mail address, they become an active member of the School Account automatically when they sign up.
- Invitations do not expire. An unanswered invitation occupies a Seat until it is revoked.
6.5 Every Student creates and controls their own Learner Account under the Terms of Service, and must meet the Minimum Age (clause 17.1).
6.6 Removal. A Teacher or Owner can remove a Student at any time. The Student's access through the School ends at once. A Student who wants to leave the School can ask the School or us, and we remove them.
6.7 A Seat is for one Student at a time. The School must not share a Seat, or a Student's Learner Account, between people, and must not rotate Seats to give access to more students than it has paid for.
7. What Students, Teachers and Owners receive
7.1 While a Student is active and the School Account is active, the Student has Premium at no cost to the Student:
- every mock exam, every course chapter and every practice topic;
- up to 40 AI writing checks and 20 AI speaking gradings per month. These are the same limits as for an individual Premium plan.
7.2 Limits are per person. Each Student, Teacher and Owner has their own monthly limits. Limits are never pooled or shared, cannot be moved between people, and unused checks lapse when the monthly counter resets.
7.3 Teachers and Owners. While active in an active School Account, Teachers and Owners also have Premium on the same terms, free of charge and without using a Seat, so that they can see the material they assign.
7.4 An invited Student who has not yet joined has no Premium through the School.
7.5 Live Interview Minutes are not included (clause 13).
7.6 When it ends. Premium through the School ends immediately when the Student, Teacher or Owner is removed, when the School Account is suspended, and when the Agreement ends. The person's Learner Account and their own learning data remain; the account continues as a free account, or under any plan the person buys.
8. Licence tiers and prices
8.1 Prices in euro, per year, excluding VAT:
| Item | Capacity | Price per year |
|---|---|---|
| Starter licence | up to 15 Seats | €60 |
| Standard licence | up to 50 Seats | €150 |
| Large licence | no limit | €300 |
| Student Seat | one Student | €25 per Seat |
8.2 The yearly Fee is the licence price plus the price of each Seat. Example: a Standard licence with 25 Seats costs €150 + 25 × €25 = €775 a year, excluding VAT. A school in Greece pays €961.00 including 24% VAT.
8.3 Currency. The Order is in euro or in one of the currencies in Schedule 1, at the price points shown there and at checkout. For other currencies Stripe may offer payment in local currency at an exchange rate it sets. The price and currency in the Order prevail over any list.
8.4 Seats added during a Term are charged at the Seat price of the School's Subscription (clause 12.2).
8.5 Price changes apply only from a renewal. We give the Paying Owner at least 30 days' notice by e-mail before the renewal date. If the School does not accept the new price, it can cancel before the renewal (clause 11.4). The prices of a Term already paid for never change.
9. VAT and other taxes
9.1 Licence and Seat prices exclude VAT. Stripe Tax calculates the VAT from the School's billing address and VAT number and adds it at checkout and on each invoice:
- (a) School established in Greece: Greek VAT at the standard rate, currently 24%, whether or not the School has a VAT number.
- (b) School established in another EU Member State that gives a valid VAT number (validated by Stripe against VIES): no VAT is charged. The reverse-charge mechanism applies (Article 196 of Directive 2006/112/EC) and the School accounts for the VAT.
- (c) School established in another EU Member State without a valid VAT number: the VAT of that Member State.
- (d) School established outside the EU: no EU VAT where the place of supply is outside the EU. Local taxes and levies are the School's responsibility. Payments are made without deduction; if the law obliges the School to withhold tax, it increases the payment so that we receive the full amount.
9.2 Minute Packs are different. Their listed prices (clause 13.1) are final prices that include VAT, because they are the same packs we sell to consumers. For a School in Greece the listed price includes 24% VAT. Where the reverse charge applies, Stripe charges the same amount with no VAT.
9.3 The School must give correct billing details and a correct VAT number. If a VAT number turns out to be invalid, we may charge the VAT that should have been charged.
10. Payment and invoices
10.1 Payments are processed by Stripe (Stripe Payments Europe Ltd, Ireland), by card or by another method offered at checkout. The School authorises us, through Stripe, to charge the stored payment method for each renewal and for each change under clause 12.
10.2 The yearly Fee is payable in advance at the start of each Term.
10.3 Invoices are issued through Stripe and are available under Plan & Billing → Manage billing. Card details never reach our servers.
10.4 If the School believes a charge is wrong, it should tell us within 30 days of the charge. A payment that is reversed or charged back is treated as unpaid for the period or item it paid for (clause 14).
10.5 Statutory interest for late payment in commercial transactions (Law 4152/2013) applies as the law provides.
11. Term, renewal and cancellation
11.1 The first Term starts on the date the Order is concluded and lasts 12 months.
11.2 The Licence and all Seats renew automatically for further Terms of 12 months each, unless cancelled before the end of the current Term. Seats added during a Term renew with the Licence.
11.3 We e-mail the Paying Owner a reminder before each renewal.
11.4 Cancelling. The Paying Owner can cancel at any time under Plan & Billing → Manage billing, or by e-mail to us. Cancellation takes effect at the end of the current Term. The School keeps the Licence until then. Fees for the current Term are not refunded, except as clause 26.4 provides.
11.5 We may decide not to renew by telling the Paying Owner at least 60 days before the renewal date.
12. Changing Seats and the Licence Tier
12.1 The Paying Owner can change the number of Seats and the Licence Tier at any time under Plan & Billing.
12.2 Adding Seats (up to the capacity of the Licence Tier): Stripe charges the price of the added Seats for the rest of the current Term, pro rata, plus VAT, immediately. The Seats are added only if that payment succeeds. If it fails, nothing changes.
12.3 Removing Seats: the School cannot go below the number of Seats occupied, including Seats in their Cooldown. The pro-rata value of the removed Seats for the rest of the Term is credited to the School's balance with Stripe and set off against later invoices. Credit is not paid out in cash, except as clause 26.5 provides.
12.4 Upgrading the Licence Tier is charged immediately, pro rata, in the same way as clause 12.2. Downgrading is possible only if the number of Seats fits the smaller tier's capacity; the pro-rata difference is credited as in clause 12.3.
12.5 For a School Account set up on an order form, Seats and the Licence Tier change by agreement with us.
13. Live Interview Minutes for Students
13.1 An Owner can buy Minute Packs for selected Students under Plan & Billing:
| Pack | Price (including VAT, see clause 9.2) |
|---|---|
| 15 minutes | €4.99 per Student |
| 35 minutes | €9.99 per Student |
| 80 minutes | €19.99 per Student |
One purchase covers one pack for each selected Student, up to 200 Students. Only active Students who have a Learner Account can receive minutes.
13.2 After payment, the minutes are credited to each selected Student's own balance. There is no shared school balance, and minutes cannot be moved between Students or back to the School.
13.3 Once credited, the minutes belong to the Student's Learner Account and are governed by the Terms of Service. They stay with the Student if the Student leaves the School and after this Agreement ends. They do not expire while the Student's Learner Account exists, and they lapse if the Student deletes it.
13.4 A purchase that is not paid within 48 hours is cancelled. If Stripe nevertheless confirms the payment later, we still credit the minutes.
13.5 Minute Packs are not refundable once credited, except under clauses 23.3 and 26.4.
13.6 The Live Interview examiner is an AI system, not a person. Each session is limited to 14 minutes. It is practice, not an exam.
14. Failed payments, grace period and suspension for non-payment
14.1 If a renewal payment fails, Stripe retries it on its retry schedule. While the retries continue, the Subscription is "past due" and the School Account stays active. This is the grace period.
14.2 If the payment is still not collected when the retries end, or the Subscription becomes unpaid, paused or cancelled, the School Account is suspended automatically:
- Teachers lose access to the Classroom;
- Students, Teachers and Owners lose Premium through the School;
- no one can invite Students or create assignments;
- the Classroom Data is kept;
- Owners keep access to Plan & Billing so that they can pay.
14.3 If the same Subscription is paid and becomes active again, the School Account is reactivated automatically.
14.4 If the Subscription has ended, the Agreement ends (clause 26.3) and clause 27 applies.
14.5 We tell the Owners by e-mail and in the App when a payment fails and when the School Account is suspended.
15. Acceptable use
15.1 The School must, and must ensure that its Owners and Teachers:
- (a) use the Service only for the School's own educational activity with its own Students and staff;
- (b) not resell, sublicense, rent or share the Service, the Classroom or Seats with anyone else;
- (c) invite only Students who are enrolled with the School, who meet the Minimum Age (clause 17.1), and for whom the School has a lawful basis and has given the information required by clause 17.3;
- (d) not create or operate Learner Accounts on behalf of Students, and not use one Learner Account for several people;
- (e) follow clause 16 on AI Output;
- (f) not put special categories of personal data (for example health information, disability or special educational needs, religion, ethnicity) or data about criminal offences into free-text fields such as class names, assignment titles or the School name;
- (g) use Shared Progress Data and Classroom Data only to organise teaching and support Students' practice, and not to monitor Students' behaviour or for any other purpose;
- (h) keep their Learner Accounts secure, and tell us without undue delay if they suspect that someone else has used one;
- (i) not copy, scrape, download in bulk, republish or distribute our exam content or other material;
- (j) not try to get around Seats, the Cooldown, usage limits, scoring or access controls;
- (k) not present our material as official exam material, or suggest that the School or certifyboost is connected with an examination body;
- (l) comply with section 14 of the Terms of Service (rules for using certifyboost) and with the law, including education, procurement and data protection law that applies to the School.
16. AI Output: permitted use
16.1 Intended purpose. AI Output is an automated practice estimate. It exists to help Students practise and to help Teachers decide what to practise next. It may contain errors. It is not an official assessment by any examination body and does not guarantee any exam result.
16.2 What the School must not do. The School must not use AI Output, and must ensure that its Owners and Teachers do not use it, whether alone or together with other information:
- (a) as, or as part of, a grade, mark, report card, transcript or other formal assessment of a Student;
- (b) to decide on admission or access to the School or to any course or programme;
- (c) to decide on placement, streaming or assignment to a class, level or group;
- (d) to decide whether a Student may sit an exam, progresses, passes, or obtains any certificate;
- (e) to monitor or detect prohibited behaviour during tests;
- (f) for any other decision that produces legal effects for a Student or similarly significantly affects them.
The School may use AI Output only as practice information for teaching: for example, to see which skills a Student should practise next. Formal assessment of Students must rest on the School's own assessment.
16.3 What we do.
- The Classroom marks every score that includes AI grading with an "AI" mark and shows a notice next to Students' mock-exam scores restating clause 16.2.
- Students can ask their Teachers to review any AI writing or speaking score. The Teachers of the Student's class (the Owners, for a Student in no class) then see that one piece of work, its AI score and its AI feedback, and answer the Student in the App (Annex B, clause 2.6). The School answers these requests within a reasonable time; we do not review scores ourselves.
- We do not market the Classroom as a tool for grading, admission, placement or certification.
- We never use AI to infer anyone's emotions, and the Service has no proctoring function.
16.4 Why this matters. Under the EU AI Act (Regulation (EU) 2024/1689), AI systems intended to evaluate learning outcomes, to determine admission or placement, or to monitor students during tests in education institutions are high-risk (Annex III, point 3). The Service is neither designed nor offered for those purposes. A School that uses AI Output for them uses it outside its intended purpose, and does so on its own responsibility.
16.5 AI literacy. We give the School a short guidance note for Teachers on what AI Output is, how it is produced and its limits. The School ensures that its Teachers read it (Article 4 AI Act).
17. Minimum age and informing Students and parents
17.1 The School must not invite any person below the Minimum Age, and must not let any such person use the Service through the School. The App also checks the Minimum Age when a Learner Account is created.
17.2 Where a Student is under 18, the School remains responsible for any involvement of parents or guardians that the law or its own rules require. A school cannot give parental consent on a parent's behalf, and this Agreement does not ask it to.
17.3 Information. Before inviting Students, the School must inform them, and the parents or guardians of Students under 18, about its use of certifyboost, as Articles 13 and 14 GDPR require for the School's part. The information must include the essence of Annex B (Article 26(2) GDPR). The School may use the template in Annex C. The School keeps a record that it gave the information.
17.4 Our invitation e-mail tells each Student what the School will be able to see and links to section 6 of our Privacy Policy. This supplements, but does not replace, the School's information.
18. Data protection
18.1 Three roles. Under this Agreement:
- (a) for Classroom Data (the roster and invitations, classes, assignments, the Classroom's views and reports, Minute Pack allocations, and Teacher and Owner access) the School is the controller and we are its processor. Annex A applies;
- (b) for each person's own Learner Account (their learning, answers, essays, recordings, AI scoring, XP, any purchases of their own) we are an independent controller. Our Privacy Policy applies;
- (c) where the two meet, that is Teachers and Owners seeing Shared Progress Data and the class weekly XP ranking, the School and we are joint controllers. Annex B applies.
18.2 The School is responsible for its own compliance as controller: the lawful basis for using certifyboost with its Students, informing Students and parents (clause 17.3), any data protection impact assessment it must carry out, and its records of processing. We assist as Annex A provides.
18.3 We do not sell personal data and show no advertising. We use Classroom Data only to provide the Classroom to the School, except (a) to administer this Agreement, for example to count Seats for billing, and (b) to produce aggregate statistics that identify no person and no School.
19. Support, availability and security
19.1 We provide support by e-mail at hello@certifyboost.com in English and Greek, and aim to reply within 2 Business Days.
19.2 We make reasonable efforts to keep the Service available, but we do not guarantee uninterrupted availability. We try to schedule maintenance at quiet times and to announce planned downtime in advance.
19.3 We protect Classroom Data with the measures in Annex III of the DPA.
20. Changes to the Service
20.1 We keep improving certifyboost, so features change. We change the Service only for valid reasons: a change in the law or in regulatory requirements, security, technical or content improvements, or discontinuing a feature for objective reasons.
20.2 During a Term we will not materially reduce the core functions of the Classroom (clause 4.2) or the Premium features of Students (clause 7.1). If such a reduction becomes necessary, we tell the Paying Owner at least 30 days in advance, or as early as possible where the law or security requires it. The School may then terminate the Agreement with effect from the date of the change and receive a pro-rata refund (clause 26.4).
21. Intellectual property
21.1 The Service, the App, our content (mock exams, courses, exercises, videos, audio, texts, design) and our software belong to us or our licensors.
21.2 We grant the School a non-exclusive, non-transferable right, for each Term, to use the Classroom and to let its Owners, Teachers and Students use the Service for the School's own educational activity. The licence of each individual is the one in the Terms of Service.
21.3 Content the School enters (its name, class names, assignment titles and due dates) remains the School's. The School grants us the rights we need to host and display it to provide the Service.
21.4 If the School gives us suggestions or feedback, we may use them freely and without payment.
21.5 Neither party may use the other's name or logo in publicity without prior written consent.
22. Confidentiality
22.1 Each party keeps confidential the non-public information the other gives it under this Agreement, uses it only for this Agreement, and protects it with reasonable care. Personal data is governed by Annexes A and B instead.
22.2 This does not apply to information that is public through no fault of the receiving party, that it already had or received lawfully from someone else, or that it must disclose by law or by order of a court or authority (after telling the other party, where allowed).
22.3 This clause continues for 3 years after the Agreement ends.
23. Warranties
23.1 We warrant that:
- (a) we provide the Service with reasonable skill and care and substantially as described in this Agreement;
- (b) our practice material is original and does not reproduce real exam questions;
- (c) we process Classroom Data as Annex A requires.
23.2 The School warrants that:
- (a) the person accepting this Agreement is authorised to bind it;
- (b) the information in the Order is correct;
- (c) it has a lawful basis to invite its Students and to let its Teachers see Shared Progress Data, and gives the information in clause 17.3;
- (d) it complies with clauses 15, 16 and 17.
23.3 Defects. If the Service does not conform to clause 23.1(a), the School should tell us. We remedy the defect within a reasonable time. If we cannot, the School may terminate the Agreement and receive a pro-rata refund (clause 26.4).
23.4 We do not warrant any exam result, or that AI Output is free of errors. To the extent the law allows, no other warranties apply.
24. Liability
24.1 Unlimited liability. Neither party limits or excludes its liability:
- (a) for damage caused intentionally or by gross negligence;
- (b) for death or personal injury;
- (c) towards data subjects under Article 82 GDPR, and, between the parties, for claims under Article 82(5) GDPR, in each case to the extent that applicable law does not allow a limitation;
- (d) where any other mandatory law does not allow a limitation.
24.2 Cap. Otherwise, each party's total liability under or in connection with this Agreement, for all claims together, is limited to the Fees paid and payable by the School under this Agreement in the 12 months before the event that gave rise to the first claim.
24.3 Excluded losses. Except in the cases of clause 24.1, neither party is liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss.
24.4 We are not liable for any Student's exam results, or for decisions the School takes based on AI Output.
24.5 The cap in clause 24.2 does not limit the School's obligation to pay the Fees.
24.6
25. Suspension by us for other reasons
25.1 Apart from non-payment (clause 14), we may suspend the School Account, or the access of a particular Owner or Teacher, only where this is necessary and proportionate:
- (a) because of a serious breach of clause 15, 16 or 17;
- (b) to stop a security threat or misuse of the Service; or
- (c) because the law, a court or an authority requires it.
25.2 We tell the Paying Owner the reasons in advance where possible, and otherwise without delay. We lift the suspension as soon as the reason has gone.
26. Termination
26.1 By the School. The School may end the Agreement:
- (a) at the end of any Term, by cancelling under clause 11.4;
- (b) with immediate effect, by notice, if we commit a material breach and do not remedy it within 30 days after the School's notice;
- (c) under clause 20.2, clause 23.3, clause 29.2, clause 30.1, or Part 2, clause B3 of Annex A (objection to a new sub-processor).
26.2 By us. We may end the Agreement:
- (a) at the end of any Term, under clause 11.5;
- (b) with immediate effect, by notice, if the School commits a material breach and does not remedy it within 15 days after our notice, or at once if the breach cannot be remedied or is a serious breach of clause 16.2 or 17.1;
- (c) if we stop offering the Classroom or certifyboost altogether, with at least 90 days' notice.
26.3 Automatic end. The Agreement also ends when the Subscription ends without renewal, including after clause 14.2 when Stripe's retries end and the Subscription is cancelled, and in the case of clause 5.5.
26.4 Refunds. Where the Agreement ends under clause 26.1(b), 26.1(c) or 26.2(c), we refund the Fees paid for the unused part of the Term, pro rata. In all other cases Fees already paid are not refunded.
26.5 Credit balance. Any credit left on the School's Stripe balance when the Agreement ends is refunded on the Paying Owner's request made within 60 days after the end.
26.6 Effects. When the Agreement ends:
- the Licence and all Seats end;
- Owners and Teachers lose access to the Classroom, and everyone loses Premium through the School;
- every Learner Account continues, with the person's own data and any minutes credited to them;
- clause 27 applies to Classroom Data.
26.7 Clauses 9, 10 (for amounts due), 21.1, 22, 24, 26.4 to 26.7, 27, 32, 33 and 34, and Annexes A and B as far as they concern the period after termination, survive the end of the Agreement.
27. Classroom Data when the Agreement ends
27.1 When the Agreement ends, the School Account is suspended at once.
27.2 Within 30 days after the end, the Paying Owner may ask us, by e-mail, for a copy of the Classroom Data in a machine-readable format (CSV or JSON). The copy contains the roster and invitations, classes, assignments and the assignment progress as shown in the Classroom on the last day.
27.3 Deletion. At the latest 30 days after the end, we delete the Classroom Data, having first sent any copy requested under clause 27.2, and confirm the deletion in writing on request. Deleted data disappears from our backups within a further 7 days. If the School buys a new Licence through the same Paying Owner before the deletion, its School Account is restored with its data.
27.4 What we keep.
- Learner Accounts are not Classroom Data. Each Student, Teacher and Owner keeps their account and their own learning data, and decides themselves whether to keep or delete it.
- Our billing and tax records about the School are kept as tax and accounting law requires, as our own records.
- Statistics that identify no person and no School.
28. Business purpose; no consumer withdrawal right
28.1 The School buys for its trade, business, profession or educational activity, and confirms this when it accepts the Agreement.
28.2 Consumer protection rules that apply only to consumers, including the 14-day right of withdrawal under the Greek consumer protection law (Law 2251/1994), do not apply to this Agreement.
28.3 If a person who buys a Licence is in fact a consumer, the mandatory consumer rules, our Terms of Service and our Refund & Withdrawal Policy apply to that purchase instead, as far as the law requires.
29. Changes to this Agreement
29.1 We may change these terms and Annexes A and B for valid reasons: a change in the law or in regulatory guidance, a change in the Service under clause 20, a new or replaced sub-processor, or to clarify the text. We send the Paying Owner the changed text by e-mail at least 30 days before the change takes effect, and announce it in the Classroom.
29.2 If a change is materially adverse to the School, the School may terminate the Agreement by notice before the change takes effect, with a pro-rata refund (clause 26.4). Otherwise, the changed terms apply from the date stated.
29.3 Changes to the list of sub-processors follow Part 2, clause B3 of Annex A. Changes that the law requires may take effect sooner if the law requires it.
29.4 Price changes follow clause 8.5.
29.5
30. Transfer of the Agreement and subcontracting
30.1 We may transfer this Agreement to a company that takes over the certifyboost business, for example if ntagks is converted into, or contributed to, a company. The School consents to this transfer in advance. We tell the Paying Owner at least 30 days before. If the School objects, it may terminate the Agreement before the transfer, with a pro-rata refund (clause 26.4).
30.2 The School may transfer this Agreement only with our prior written consent, which we will not refuse unreasonably (for example when the School is sold).
30.3 We may use subcontractors. For Classroom Data, Annex A governs sub-processors.
31. Force majeure
Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as natural disasters, war, epidemics, power or internet failures, or failures of providers of infrastructure, provided that it informs the other party and takes reasonable steps to limit the effects. This clause does not excuse payment obligations, or our obligations under Annex III of the DPA to the extent the measures there were designed for the event.
32. Notices
32.1 Notices to us: by e-mail to hello@certifyboost.com, or by post to the address in clause 1.1.
32.2 Notices to the School: by e-mail to the address of the Paying Owner's Learner Account and to any notice address given in the Order, and, where this Agreement says so, in the Classroom.
32.3 An e-mail notice is received when sent, or, if sent outside 09:00–17:00 Greek time on a Business Day, at 09:00 on the next Business Day.
32.4 The School must keep the Paying Owner's e-mail address current.
33. Governing law and courts
33.1 This Agreement and any non-contractual obligation connected with it are governed by Greek law.
33.2 The courts of Thessaloniki, Greece, have exclusive jurisdiction.
34. Language
34.1 This Agreement is made in English and Greek. Until the Greek version is published, the English version applies; once both exist, the Greek version prevails if they differ.
34.2
35. General
35.1 This Agreement is the entire agreement between the parties about its subject. It replaces earlier communications about it.
35.2 If a provision is invalid, the rest remains in force, and the parties replace the invalid provision with a valid one that comes closest to its purpose.
35.3 A failure or delay in exercising a right is not a waiver of it.
35.4 This Agreement gives no rights to third parties, except the rights that data subjects have under Annexes A and B and under the GDPR.
35.5 The Agreement may be concluded and amended electronically.
